In the event that a portion of this Agreement is held unenforceable, the unenforceable portion will be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions will remain in full force and effect.
This Agreement shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the Civil Panel, Commercial Court Zurich, Zurich, Switzerland, and each party hereby waives any right to object to the jurisdiction of such tribunal. Service of process at a party’s principal place of business or place of residence (in the case of natural persons), even if outside of Switzerland, shall be sufficient to establish the Swiss court’s jurisdiction.
